SIMULATION ICE RISK MODEL ARRAY FILE - LICENSE TERMS AND CONDITIONS

1. Grant of License

   ICE Clear Europe Ltd ("ICE") hereby grants a royalty-free, non-exclusive, non-transferable licence to use any ICE Risk Model array file which is made available by ICE on this Website in advance of its implementation for use in the production of original margin requirements (an "Advisory Risk Array File"). If you do not wish to be bound by these terms and conditions please do not make any use of any Advisory Risk Array File.

2. No warranties or representations

   1. Each Advisory Risk Array File is provided "as is" and ICE provides no representations or warranties of any kind in relation to it, or any part of it.
   2. Each Advisory Risk Array File is provided on the following basis:
      1. there may be variations between the preproduction version of the Advisory Risk Array File and the production implemented version;
      2. changes may be made by ICE to the production implemented version of the Advisory Risk Array File;
      3. advisory Risk Array Files may be withdrawn or not implemented, at any time and on no notice;
      4. each Advisory Risk Array File is generated in a test environment and provided solely for the purposes of supplying an indication of the possible impact of published margin rate changes. ICE accepts no liability in the event that the production implemented version of the Advisory Risk Array File produces a different margin outcome to that produced by any previously published versions of that or any other Advisory Risk Array File.

3. Limitations on Liability

   ICE and its directors, officers, employees, agents, consultants, contractors or affiliates shall have no liability for any direct or indirect or consequential loss or damage, cost or expense, howsoever caused including loss of profits or anticipated profits, goodwill, reputation, income or contracts, business opportunity, or other loss, damage, cost or expense resulting from any third party claim, arising directly or indirectly from or in connection with any Advisory Risk Array File or the use of any Advisory Risk Array File or any part of the same by any person or entity and any such liability is hereby excluded to the fullest extent permissible under any applicable law.
